The AG is Germany's joint-stock vehicle under the Aktiengesetz. § 7 AktG fixes Grundkapital at €50,000 minimum; § 36 AktG requires 25% paid in at registration. Mandatory three bodies: Vorstand (management), Aufsichtsrat (supervisory, min 3 members per § 95 AktG), Hauptversammlung (shareholders).

When the €50,000 upgrade pays off

The three bodies

Vorstand (§ 76 AktG): runs the business, represents the AG externally, independent of shareholders. Aufsichtsrat (§§ 95–117 AktG): appoints and removes Vorstand, approves key transactions, minimum 3 members, at least 2 meetings per year. Hauptversammlung (§§ 118–149 AktG): shareholders, approves accounts and dividend, elects Aufsichtsrat.
