§ 4a GmbHG allows a GmbH's statutory seat and administrative seat to differ since the 2008 MoMiG reform. Statutory seat vs administrative seat vs business address
Statutory seat is the municipality declared in the Satzung. Administrative seat is where actual management happens, relevant to § 10 AO tax residency. Business address is the street you use for ladungsfähige-Anschrift purposes. Most small entities align all three; we split them only when there is a genuine commercial reason.

Gewerbesteuer optimisation, the honest version
Choosing a lower-Hebesatz city as statutory seat can save real Gewerbesteuer (Monheim 250% vs Munich 490%), but § 10 AO examines substance. If management actually sits in Munich, declaring Monheim invites reclassification. We only advise arbitrage where substance matches.
